Terms and Conditions

1. Acceptance of Terms

• By submitting a manuscript or using any services of Vidyarathee Publication Private Limited, the Author agrees to be legally bound by these Terms and Conditions. Use of services implies full acceptance of these terms.

2. Author’s Representations and Warranties

• The Author confirms that the submitted manuscript is original and created by the Author.
• The Author further confirms that the work does not violate any copyright, trademark, or intellectual property rights of any third party.
• The manuscript must not contain defamatory, unlawful, or plagiarized material.
• The Author declares that they have full legal authority to enter into this agreement.
• The Author agrees to indemnify and hold the Company harmless against any legal claims arising from violation of these representations.

3. Copyright Ownership

• Copyright of the manuscript shall remain with the Author unless otherwise agreed in writing.
• The Author grants the Company a non-exclusive or exclusive license (as specified in the agreement) to publish, print, distribute, and market the book.

4. Publishing Services

• The Company may provide services such as editing, proofreading, cover design, formatting, ISBN allocation, printing, distribution, online listing, and marketing.
• The exact services provided will depend on the package selected by the Author and will be governed by the signed publishing agreement.

5. Payment Terms

• The Author agrees to pay the publishing fee in advance or according to the agreed installment plan.
• Payments once made are non-refundable except where specifically mentioned in the agreement.
• Any additional services beyond the agreed scope will be charged separately.

6. Royalties

• The royalty percentage will be clearly mentioned in the publishing agreement.
• Royalties shall be calculated on net sales revenue after applicable deductions.
• Royalty payments will be made quarterly, half-yearly, or yearly as agreed between the parties.

7. Printing and Distribution

• The Company will make reasonable efforts to distribute the book through selected online and offline platforms.
• However, the Company does not guarantee any specific number of sales or commercial success.

8. Termination

• Either party may terminate the agreement in case of material breach by providing written notice.
• Upon termination, license rights may cease as per the agreement.
• All outstanding payments and dues must be cleared before termination becomes effective.

9. Limitation of Liability

• The Company shall not be liable for loss of profits or revenue.
• The Company shall not be responsible for indirect or consequential damages.
• The Company does not guarantee the market performance or sales success of the book.

10. Confidentiality

• Both parties agree to maintain confidentiality of the manuscript and business terms.
• Neither party shall disclose confidential information without prior written consent.

11. Governing Law

• This agreement shall be governed by the laws of India.
• Any disputes shall be subject to the jurisdiction of the courts of Delhi.

12. Amendments

• The Company reserves the right to amend these Terms and Conditions with prior notice.
• Continued use of services after such amendments shall constitute acceptance of the revised terms.

1. शर्तों की स्वीकृति

• विद्यारथी पब्लिकेशन प्राइवेट लिमिटेड को पांडुलिपि प्रस्तुत करने या उसकी किसी भी सेवा का उपयोग करने पर, लेखक इन नियमों एवं शर्तों से विधिक रूप से बाध्य होने के लिए सहमत माना जाएगा। सेवाओं का उपयोग इन शर्तों की पूर्ण स्वीकृति का द्योतक होगा।

2. लेखक के प्रतिज्ञान एवं आश्वासन

• लेखक पुष्टि करता है कि प्रस्तुत पांडुलिपि उसकी मौलिक रचना है तथा उसी द्वारा सृजित है।
• लेखक यह भी पुष्टि करता है कि उक्त कृति किसी तृतीय पक्ष के कॉपीराइट, ट्रेडमार्क या अन्य बौद्धिक संपदा अधिकारों का उल्लंघन नहीं करती है।
• पांडुलिपि में कोई मानहानिकारक, अवैध अथवा साहित्यिक चोरी (Plagiarized) की सामग्री सम्मिलित नहीं होनी चाहिए।
• लेखक यह घोषणा करता है कि उसे इस अनुबंध में प्रवेश करने का पूर्ण वैधानिक अधिकार प्राप्त है।
• उपर्युक्त प्रतिज्ञानों के उल्लंघन से उत्पन्न किसी भी विधिक दावे के संबंध में लेखक कंपनी को प्रतिरक्षित (Indemnify) करने तथा क्षतिपूर्ति प्रदान करने के लिए सहमत होगा।

3. कॉपीराइट स्वामित्व

• पांडुलिपि का कॉपीराइट लेखक के पास ही रहेगा, जब तक कि लिखित रूप में अन्यथा सहमति न हो।
• लेखक कंपनी को (अनुबंधानुसार) अनन्य (Exclusive) अथवा अनन्य-रहित (Non-Exclusive) लाइसेंस प्रदान करता है, जिसके अंतर्गत पुस्तक के प्रकाशन, मुद्रण, वितरण एवं विपणन का अधिकार सम्मिलित होगा।

4. प्रकाशन सेवाएँ

• कंपनी संपादन, प्रूफरीडिंग, आवरण-डिज़ाइन, प्रारूपण (Formatting), ISBN आवंटन, मुद्रण, वितरण, ऑनलाइन सूचीकरण तथा विपणन जैसी सेवाएँ प्रदान कर सकती है।
• प्रदत्त सेवाओं का स्वरूप लेखक द्वारा चयनित पैकेज पर निर्भर करेगा तथा यह हस्ताक्षरित प्रकाशन अनुबंध द्वारा शासित होगा।

5. भुगतान की शर्तें

• लेखक सहमत है कि वह प्रकाशन शुल्क अग्रिम रूप से अथवा सहमत किश्त योजना के अनुसार अदा करेगा।
• एक बार किया गया भुगतान, अनुबंध में अन्यथा निर्दिष्ट होने के अतिरिक्त, सामान्यतः अप्रत्यावर्तनीय (Non-Refundable) होगा।
• सहमत सेवाओं के अतिरिक्त किसी भी अतिरिक्त सेवा के लिए पृथक शुल्क देय होगा।

6. रॉयल्टी

• रॉयल्टी का प्रतिशत प्रकाशन अनुबंध में स्पष्ट रूप से उल्लिखित किया जाएगा।
• रॉयल्टी की गणना लागू कटौतियों के पश्चात शुद्ध बिक्री राजस्व (Net Sales Revenue) के आधार पर की जाएगी।
• रॉयल्टी का भुगतान पक्षकारों के मध्य सहमति के अनुसार त्रैमासिक, अर्धवार्षिक अथवा वार्षिक रूप से किया जाएगा।

7. मुद्रण एवं वितरण

• कंपनी चयनित ऑनलाइन एवं ऑफलाइन मंचों के माध्यम से पुस्तक के वितरण हेतु यथोचित प्रयास करेगी।
• तथापि, कंपनी किसी निश्चित बिक्री संख्या या व्यावसायिक सफलता की गारंटी नहीं देती है।

8. अनुबंध की समाप्ति

• किसी भी पक्ष द्वारा मौलिक उल्लंघन (Material Breach) की स्थिति में लिखित सूचना प्रदान कर अनुबंध समाप्त किया जा सकता है।
• अनुबंध की समाप्ति पर, लाइसेंस अधिकार अनुबंधानुसार समाप्त हो सकते हैं।
• समाप्ति प्रभावी होने से पूर्व सभी लंबित भुगतान एवं देय राशियों का निपटान आवश्यक होगा।

9. दायित्व की सीमा

• कंपनी लाभ अथवा राजस्व की हानि के लिए उत्तरदायी नहीं होगी।
• कंपनी अप्रत्यक्ष या परिणामस्वरूप (Consequential) क्षति के लिए उत्तरदायी नहीं होगी।
• कंपनी पुस्तक के बाजार प्रदर्शन अथवा बिक्री की सफलता की कोई गारंटी नहीं देती है।

10. गोपनीयता

• दोनों पक्ष पांडुलिपि तथा व्यावसायिक शर्तों की गोपनीयता बनाए रखने के लिए सहमत हैं।
• पूर्व लिखित सहमति के बिना कोई भी पक्ष गोपनीय सूचना का प्रकटीकरण नहीं करेगा।

11. लागू विधि

• यह अनुबंध भारत के विधियों द्वारा शासित होगा।
• किसी भी विवाद की स्थिति में क्षेत्राधिकार दिल्ली की न्यायालयों को होगा।

12. संशोधन

• कंपनी पूर्व सूचना देकर इन नियमों एवं शर्तों में संशोधन करने का अधिकार सुरक्षित रखती है।
• संशोधन के पश्चात सेवाओं का निरंतर उपयोग संशोधित शर्तों की स्वीकृति माना जाएगा।
